Dipity Terms of Service

Welcome to Dipity. These Terms of Service ("Terms") govern your access to and use of Dipity's websites, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Definitions

"Dipity," "we," "us," "our" means Grooply LLC and its owners, officers, directors, employees, contractors, affiliates, and agents.

"You," "your," "User" means any person or entity that accesses or uses the Service.

"Content" means text, images, photos, audio, video, links, location data, event details, business information, and any other materials.

"User Content" means Content you submit, post, upload, transmit, or otherwise make available through the Service.

"Third-Party Content" means Content from sources other than Dipity or Users.

"Business" means a venue, organizer, brand, or merchant whose place or event appears on Dipity.

"Business Account" means an account or features intended for Business users.

"Groop" means any club, community, or recurring gathering created by a User on the Service, whether public or private (e.g., run clubs, arts and crafts clubs, and similar user-organized communities).

"Organizer" means a User who creates or administers a Groop or posts an Event to the Service.

"Event" means any gathering, meetup, activity, or occurrence posted to the Service by an Organizer or a Business, whether occurring online or in person.

"Connected Account" means a third-party social-media account that a User, Business, or Organizer chooses to connect to the Service using an authorized integration.

"Connected Account Content" means Content and related information made available to Dipity through a Connected Account, including account and profile information, media, captions, post identifiers, timestamps, and information derived from that Content, such as potential Event details.

"Social Media Platform" means a third-party social-media service that may be supported by the Service, including Instagram and services provided by Meta.

2. Privacy Policy

Our Privacy Policy describes how we collect, use, store, and share information about you and is incorporated into these Terms by reference.

3. Eligibility and Account Registration

3.1 Age

You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

3.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at johnny@grooply.app of any unauthorized use.

3.4 Multiple Accounts / Impersonation

You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or create or use an account that you are not authorized to use.

3.5 Suspension for Cause

We may suspend or terminate your account as described in Section 19 (Term, Suspension, and Termination).

4. What Dipity Is (and Is Not)

Dipity helps people discover places and events, and to create, join, and coordinate Groops and Events, including in-person meetups. Dipity is primarily a discovery and coordination platform. Except where Dipity is expressly identified as the host or organizer of a specific Event, Dipity does not host, sponsor, organize, supervise, insure, or control any Groop or Event listed on or created through the Service, whether created by a Business or by a User/Organizer, and does not guarantee the accuracy, safety, legality, or quality of any listing, Groop, or Event. Dipity may from time to time host or organize its own Events, which will be identified as such.

Organizers and Businesses are independent of Dipity. They are not our employees, agents, partners, or joint venturers, and we do not vet, background-check, credential, train, or supervise them unless expressly stated otherwise for a specific feature.

5. Content on the Service

You are solely responsible for your User Content. By submitting User Content, you grant Dipity a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and otherwise use that Content to operate, provide, promote, and improve the Service. This license ends when you delete the Content or your account, except to the extent the Content was shared with others and they have not deleted it, or where retention is required for legal, safety, or moderation record-keeping purposes.

By connecting a Connected Account, you represent that you have the authority described in Section 9. You grant Dipity a worldwide, non-exclusive, royalty-free, sublicensable license to access, retrieve, host, store, reproduce, analyze, adapt, display, distribute, and otherwise use Connected Account Content as necessary to operate, provide, secure, maintain, and improve the Service's event-discovery, business, and event-ingestion features. This license ends when you disconnect the Connected Account or revoke authorization, except for Content already shared through the Service, Content retained under the Privacy Policy, and retention required for legal, safety, or moderation record-keeping purposes.

Dipity may use automated systems, including AI and machine learning models, to analyze, summarize, categorize, moderate, extract Event-related information from, or recommend Content, including Connected Account Content.

6. Prohibited Conduct

You agree not to, and not to assist others to:

  • Violate any law or the legal rights of others;

  • Post or transmit Content that is harassing, threatening, abusive, hateful, discriminatory, sexually explicit, or that promotes violence, self-harm, or illegal activity;

  • Bully, stalk, dox, or target another User, Organizer, or Business;

  • Impersonate any person or entity, or misrepresent your identity or affiliation with any person, Groop, or Business;

  • Create a Groop or Event for a purpose that is unlawful, unsafe, fraudulent, or misleading;

  • Access, collect, or scrape data from the Service (including User profiles, Groop content, or Event listings) through automated means without our prior written authorization;

  • Interfere with, disrupt, or place undue burden on the Service or its infrastructure;

  • Spam, solicit, or send unwanted commercial communications to other Users;

  • Upload viruses, malware, or other malicious code;

  • Circumvent or attempt to circumvent any content moderation, reporting, or blocking mechanism on the Service; or

  • Connect, attempt to connect, or authorize access to a Connected Account that you do not own or are not authorized to administer.

We have zero tolerance for objectionable content or abusive conduct as described in this Section and in Section 14 (Reporting, Blocking, and Content Moderation).

7. Groops, Communities, and Events

7.1 Creating and Joining Groops

Users may create or join public or private Groops (such as run clubs or hobby clubs) and may post Events to those Groops or to the Service's public feed. Dipity provides tools for this purpose and may review Groops and Events, before or after they are posted, as part of our content moderation process described in Section 14. That review does not constitute an endorsement, verification, or guarantee of the accuracy, safety, legality, or suitability of any Groop or Event.

7.2 Organizer Responsibility

If you create or administer a Groop or post an Event, you are solely responsible for that Groop and Event, including its description, safety, legality, and conduct of participants you invite or admit. You agree to comply with all applicable laws (including venue, permit, and insurance requirements) applicable to the Event you organize.

7.3 Assumption of Risk for In-Person Activities

Some Groops and Events involve physical activity or in-person gatherings (for example, running, exercise, or other recreational activities) that carry inherent risks, including but not limited to physical injury, illness, property damage, or interactions with third parties whose conduct Dipity does not control.

By attending, participating in, or organizing any Groop or Event discovered through the Service, you voluntarily assume all risks associated with that participation, to the fullest extent permitted by law. You are solely responsible for evaluating your own fitness, ability, and readiness to participate, and for exercising your own judgment about the safety of any Event, Groop, location, or fellow participant. Dipity is not responsible for the acts or omissions of any Organizer, Business, or other User.

7.4 User Interactions and Blocking

You are responsible for your interactions with other Users, on and off the Service. Dipity does not conduct criminal background checks on Users, Organizers, or Businesses. You may block another User at any time through the Service's blocking feature; a blocked User will be prevented from contacting you or viewing your Content through the Service.

Certain profile information (such as your name and profile photo) and certain Content you post to public Groops, Events, or feeds may be visible to other Users to facilitate discovery and coordination.

8. Business Accounts

Businesses may claim listings and access publishing tools and analytics. Dipity does not guarantee any performance, engagement, or business outcomes from use of a Business Account.

9. Connected Accounts and Social Media Integrations

9.1 Authorization to Connect

You may connect a Connected Account only if you own it or have all authority needed to connect it on behalf of the Business, Organizer, or other account owner. You authorize Dipity to access and process Connected Account Content made available through the integration for the purposes described in these Terms and the Privacy Policy.

9.2 Content Rights and Platform Compliance

You represent and warrant that: (a) you have all rights, permissions, and authority necessary for Dipity to access and use the Connected Account and Connected Account Content as described in these Terms; (b) Dipity's authorized use will not violate any person's rights or applicable law; and (c) your connection and use of the integration comply with the applicable Social Media Platform's terms, policies, and requirements.

9.3 Disconnection and Revocation

You may disconnect a Connected Account through the available Service controls or revoke Dipity's authorization through the applicable Social Media Platform. Disconnection or revocation stops future collection from that Connected Account, but does not automatically remove Connected Account Content or Event information previously collected, displayed, shared, or retained. The Privacy Policy describes how to request deletion and how we retain information.

9.4 Third-Party Platforms

Your use of a Social Media Platform and its authorization flow is governed by that platform's terms and privacy policy. Dipity is not responsible for the availability, security, content, or practices of a Social Media Platform. The availability of an integration does not mean that Dipity is sponsored, endorsed, or affiliated with the platform except as expressly stated by Dipity.

10. Payments, Subscriptions, and Trials

Dipity does not currently charge for any features, subscriptions, or trials. If we introduce paid features in the future, this Section will be updated before those features launch to describe pricing, billing, renewal, and cancellation terms, and any applicable app store's (Apple App Store or Google Play) refund policies will govern in the event of a conflict.

11. Third-Party Services

The Service may link to or integrate with third-party services (including payment processors, mapping providers, social platforms, and AI or cloud-service providers). Dipity is not responsible for the content, accuracy, or practices of any third-party service, and your use of them is governed by their own terms.

12. Intellectual Property

The Service, including its design, text, graphics, logos, and software (excluding User Content and Third-Party Content), is owned by Dipity or its licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted.

13. Copyright and DMCA Policy

Dipity respects intellectual property rights. If you believe Content on the Service infringes your copyright, send a notice to johnny@grooply.app that includes: (a) your signature (physical or electronic); (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location on the Service; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the copyright owner. We may terminate accounts of repeat infringers.

14. Reporting, Blocking, and Content Moderation

Dipity provides in-app mechanisms for Users to report objectionable Content, Groops, Events, Businesses, and Users, and to block other Users. We review reports and take action we deem appropriate, which may include removing Content, removing a Groop or Event, issuing a warning, or suspending or terminating an account, generally within 10 business days of a report, though response time may vary.

We have zero tolerance for Content or conduct that violates Section 6 (Prohibited Conduct).

Dipity may remove any Content, Groop, or Event, and may suspend or terminate any account, at any time, with or without notice, in our sole discretion, including for repeat or severe violations.

If you believe a moderation decision was made in error, you may appeal by contacting johnny@grooply.app.

15. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, GROUPS, EVENTS, AND LISTINGS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. DIPITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY EVENT, GROUP, BUSINESS, OR USER DESCRIBED ON THE SERVICE IS ACCURATE, SAFE, OR SUITABLE FOR YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIPITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, ANY GROUP, EVENT, ORGANIZER, BUSINESS, OR OTHER USER, EVEN IF DIPITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DIPITY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIPITY IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify, defend, and hold harmless Dipity and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content or Connected Account Content; (c) your violation of these Terms; (d) any Groop or Event you organize or administer; (e) your interactions with other Users, Organizers, or Businesses, on or off the Service; or (f) your unauthorized connection of an account, lack of rights in Connected Account Content, or breach of a Social Media Platform's terms or policies.

18. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small claims court. You and Dipity each waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing johnny@grooply.app with your name and a statement that you opt out.

19. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and request account deletion at any time by contacting johnny@grooply.app. For Connected Account Content, account deletion and disconnection are also subject to the retention and deletion provisions in the Privacy Policy. Sections 5 through 7 (as to Content already shared), and Sections 9, 12, 13, 15 through 18, and 20 through 23 survive termination.

20. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 18, venue for any dispute not subject to arbitration lies exclusively in the state or federal courts located in Travis County, Texas.

21. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes through the app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

23. General Provisions

Electronic communications satisfy any legal requirement that communications be in writing. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dipity regarding the Service. Dipity may assign these Terms; you may not assign them without our consent. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of that provision. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
